WISMILAK - Praktik Tata Kelola

Initiated as a traditional company and continues to grow into a modern corporate citizen, Wismilak combines the principles of Good Corporate Governance (GCG), as elaborated in the 2006 General Guidelines of the National Committee for Corporate Governance (KNKG), with its espoused values, basic assumptions and core competencies of all personnel of Wismilak. Pursuant to the prevailing laws and regulations, Wismilak develops an organization structure that support the best implementation of GCG.

CORPORATE GOVERNANCE

Audit Committee is the Company’s instrument established by Board of Commissioners and responsible for assisting the implementation of duties of Board of Commissioners in supervisory functions, refers to Regulation of OJK No.55/POJK/04/2015. Composition of Audit Committee is as follows:

Warga Negara Indonesia, 58 tahun. Beliau menyelesaikan pendidikan di bidang Akuntansi di Universitas Tarumanegara, Jakarta (1989).Menjabat sebagai Ketua Komite Audit sejak 2022 berdasarkan Keputusan RUPS tanggal 27 Juni 2022.

Marco Hadisurya Candra

Warga Negara Indonesia, 73 tahun. Beliau menyelesaikan pendidikan di Technical University, Aachen, Jerman (1976). Menjabat sebagai Direktur sejak 2022 berdasarkan keputusan RUPSLB tanggal 12 Desember 2022. Saat ini, beliau juga menjabat sebagai Komisaris PT Gelora Djaja dan PT Galan Gelora Djaja. Sebelumnya, menjabat sebagai Direktur PT Gelora Djaja (1983-2008).

Warga Negara Indonesia, 77 tahun. Beliau menyelesaikan pendidikan di Rheinisch-Westfalische Technische Hochschule Aachen, Jerman (1975). Menjabat sebagai Direktur sejak 2022 berdasarkan Keputusan RUPSLB tanggal 12 Desember 2022. Saat ini, beliau juga menjabat sebagai Direktur Utama PT Gelora Djaja dan PT Gawih Jaya. Sebelumnya, menjabat sebagai Direktur PT Gelora Djaja (1996-2008).

Sekretaris Perusahaan

Warga Negara Indonesia, berdomisili di Surabaya dan saat ini berusia 53 tahun. Menjabat sebagai Sekretaris Perusahaan Perseroan berdasarkan Surat Keputusan Direksi No. 008/LGA/ROW/IX/2012 tentang Penunjukkan Sekretaris Perusahaan. Beliau juga merupakan Direktur PT Gawih Jaya sejak 2011 hingga sekarang. Sebelumnya, beliau menjabat sebagai Marketing Manager Wismilak (2004–2014) dan Product Group Manager Wismilak (2003-2004). Beliau menyelesaikan pendidikan di bidang Teknik Sipil pada Universitas Brawijaya, Malang.

Internal Audit Unit is an objective and independent work unit that provides added value for the Company. The Internal Audit Unit conducts audit activity to assess the Company’s compliance with systems and procedures, as well as the prevailing laws and regulations.

Manajer Unit Audit Internal

Andri Nurcahyo, Warga Negara Indonesia,berdomisili di Surabaya dan saat ini berusia 44 tahun. Menjabat sebagai Manajer Unit Audit Internal berdasarkan Surat Keputusan Direksi No.025/LGA-WIM/XI/2017. Sebelumnya merupakan Manufacture Audit Manager Wismilak (2015 - 2017). Beliau memulai kariernya di Wismilak sebagai staf Internal Audit pada Oktober 2002. Beliau lulus dari Universitas Airlangga, Surabaya, dalam bidang Akuntansi (2002).

CORPORATE BEHAVIOR SYSTEM

The Company has determined a Corporate Behavior Standard/ Code of Conduct that prevails for all personnel of Wismilak. This is regarded as a form of commitment of the Company to implementing proper business behavior and standards. Each personnel of Wismilak, including the Board of Commissioners and Board of Directors, is obliged to sign an Integrity Pact. In order to promote the Standard, the Company carries out dissemination activity through various media that can reach all personnel of Wismilak.
